If you are accepting these Terms on behalf of a company or legal entity, you represent and warrant that you have full legal authority to bind such entity to these Terms. If you do not agree to these Terms, you must not access or use our Services.
2. Account Registration & Responsibilities
To use certain features of the platform, you must register for an account. You agree to:

- Maintain and update your profile information to keep it accurate and complete.
- Safeguard your login credentials and accept responsibility for all activity under your account.

Biz strictly enforces anti-spam and ethical marketing standards. You expressly agree not to use the Services to send unsolicited email communications (SPAM) in violation of the United States CAN-SPAM Act of 2003, the Telephone Consumer Protection Act (TCPA), or state regulations.
Prohibited activities include, but are not limited to:
- Uploading or purchasing email lists containing non-opted-in contacts.
- Distributing deceptive, misleading, fraudulent, or harmful content or email headers.
- Scraping or extracting personal sensitive information without authorization.
- Attempting to bypass platform rate limits, security measures, or reverse engineer source code.
- Using AI features to generate defamatory, offensive, illegal, or infringing material.
4. Subscriptions, Payment & 0% Refund Policy
Access to Biz requires an active paid subscription plan or active trial. Payments are processed in U.S. Dollars (USD). Subscriptions auto-renew automatically unless cancelled prior to the renewal date.

5. Intellectual Property Rights
The Services, including software code, UI design, logos, graphics, trademarks, algorithms, and automated processes, are owned by Biz and protected by United States and international copyright, trademark, and trade secret laws.
You retain all ownership rights to the raw business lead data and customer lists you upload to the platform. You grant Biz a worldwide, royalty-free license to host, store, and process your data solely for the purpose of operating and delivering the Services to you.
6. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR ABSOLUTELY SECURE.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE US LAW, BIZ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL RESULTING FROM YOUR USE OF THE SERVICES.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU TO BIZ IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
8. Governing Law & Jurisdiction (State of Maryland)
These Terms and any dispute, controversy, or claim arising out of or relating to your use of the Services shall be governed by, construed, and enforced in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law principles.
You expressly agree that the exclusive jurisdiction and venue for any legal action, proceeding, or litigation arising out of or in connection with these Terms shall reside solely in the state courts located in Montgomery County, Maryland, or the United States District Court for the District of Maryland. You hereby consent and submit to the personal jurisdiction of such courts.
